1. Description of Services

Laand operates a dual-sided technology platform serving individual users ("Talent") and business entities ("Employers").

• Talent Services: We provide proprietary analytical tools, dynamic portfolio hosting (the "Career Vault"), and AI-assisted generation of professional assets, including Job Application Kits (JAKs), Job Application Microsites (JAMs), and PitchJAMs. Talent may utilize the Services to analyze job opportunities hosted externally or directly on the Laand platform.
• Employer Services: We provide a talent-sourcing infrastructure that allows businesses to post milestone-based requirements, facilitate technical and behavioral assessments, and fund stipends for candidate evaluation.

Laand acts solely as a technology provider. We do not guarantee employment, interviews, the accuracy of external job postings, or the successful fulfillment of any open role.

2. User Accounts and Eligibility

• Age Requirement: You must be at least 18 years of age to form a binding contract and use the Services.
• Account Accuracy: You must provide accurate, current, and complete information during registration. Each user is permitted to maintain only one active account.
• Security: You are strictly responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access.
• Prohibited Access: Accounts registered using bots, automated scripts, or unauthorized scraping methods will be subject to immediate termination.

3. Platform Operations and Talent Hunts

• Universal Analysis: Talent may use the platform to analyze both external job postings and internal roles hosted by Laand.
• Hosted Talent Searches: Employers may initiate searches hosted on dedicated Laand pages. To maximize reach, Laand may distribute these postings to external job aggregators. All external application traffic for these roles is strictly redirected back to the Laand platform to ensure compliance with our proprietary assessment and evaluation protocols.
• Evaluations: Employers maintain the sole discretion to advance candidates based on platform assessments and to invite users to complete test projects.

4. Platform Fees, Credits, and Payments

All financial transactions are processed securely through our authorized third-party payment providers. We do not store full financial details on our servers.

5. Artificial Intelligence and Content Generation

Our Services extensively utilize Artificial Intelligence (AI) and Large Language Models (LLMs) to analyze data, evaluate fit, and generate content.

• No Professional Advice: AI-generated outputs—including career guidance, salary estimations, and application assets—are for informational and strategic purposes only. They do not constitute binding professional, financial, or legal advice.
• Output Accuracy and Verification: AI technologies evolve rapidly and may produce errors, hallucinations, or inaccuracies. You are solely responsible for independently reviewing, verifying, and editing all AI-generated content before utilizing it in any professional capacity.
• Data Utilization: By utilizing features that involve AI processing, you agree that your inputs may be used to deliver and optimize the Services, subject to the data protection standards outlined in our Privacy Policy.

6. Acceptable Use Policy

To protect the integrity of the platform and our network, you agree to use the Services lawfully. You strictly agree not to:

• Submit false, fabricated, or misleading information regarding your work history, skills, identities, or completed projects.
• Utilize the platform to facilitate automated, high-volume application distribution or "spam" tactics that degrade the hiring ecosystem.
• Attempt to reverse engineer, decompile, disrupt, or extract the source code, proprietary algorithms, or data models of the platform.
• Engage in harassment, hateful speech, or discrimination against any user, employer, or Laand representative.

7. Intellectual Property Rights

• Laand Ownership: VEC, LLC. retains all exclusive rights, title, and interest in and to the platform, its original content, custom code, UI designs, and proprietary evaluation methodologies. You are granted a limited, personal, revocable, and non-transferable license to use the Services.
• User Content: You retain all intellectual property rights to the personal data and project submissions you upload. By utilizing the platform, you grant Laand a worldwide, royalty-free, non-exclusive license to use, display, and transmit your data to prospective employers to facilitate platform operations and hiring processes.

8. Intellectual Property Rights in Talent Hunts & Escrow Sandboxes

This Section 8 governs intellectual property in work submitted through Talent Hunts and Escrow Sandboxes. To the extent of any conflict, this Section 8 prevails over the general provisions of Section 7.

8.1. Definitions

• "Problem Definition" means any operational challenge, prompt, data set, company context, or project scope created and published by a Hiring Company on the Platform to initiate a Talent Hunt.
• "Project Solution" means any code, text, design, strategy, artifact, or material uploaded, submitted, or delivered by a User (Talent) to the platform's Escrow Sandbox in response to a Problem Definition.
• "Unlock Event" occurs when a Hiring Company explicitly chooses to review an anonymized User's identity and fully access their corresponding Project Solution by triggering the associated Platform fee or escrow payout transaction.

8.2. Ownership of Hiring Company Property

As between Laand, the User (Talent), and the Hiring Company, the Hiring Company retains sole and exclusive ownership of, and all intellectual property rights in, its Problem Definitions. No license or transfer of ownership over a Hiring Company's trade secrets or proprietary operational details is granted to Users, except for the limited, non-exclusive right to review the Problem Definition solely for the purpose of participating in that specific Talent Hunt on the Platform.

8.3. Ownership of User (Talent) Solutions Prior to Unlocking

Except for any underlying Hiring Company intellectual property contained therein, all intellectual property rights in a Project Solution (Direct Application Project, DAP) remain the sole and exclusive property of the creating User (Talent) upon submission to the Escrow Sandbox.

• While a Project Solution, DAP, remains locked or anonymized on the Platform, the Hiring Company is strictly granted only a limited, non-transferable, non-exclusive, revocable license to view the anonymized outputs for evaluation purposes within the Platform workspace.
• Strict Prohibition: Hiring Companies are explicitly prohibited from downloading, copying, modifying, executing, or using any locked or anonymized Project Solution, DAP, in whole or in part, for any commercial, production, or operational business purposes outside of candidate evaluation on Laand.

8.4. Intellectual Property Transfer Upon an Unlock Event

Conditioned strictly upon the occurrence of a valid Unlock Event and the successful clearing of the associated platform fee or escrow payment via Stripe Connect:

• The User (Talent) hereby automatically assigns, transfers, and conveys to the Hiring Company, without further consideration, all right, title, and interest worldwide in and to the specific Project Solution associated with that Unlock Event.
• Following the Unlock Event, the Hiring Company shall own all intellectual property rights to said Project Solution, DAP, and may utilize, modify, or commercialize it freely.
• Users acknowledge that once an Unlock Event is processed and compensation/access is fulfilled, the assignment of rights is irrevocable.

8.5. Unlocked Failures & Dispute Resolution

If a Hiring Company rejects a Project Solution, DAP, or fails to execute an Unlock Event, no intellectual property rights in the Project Solution, DAP, shall transfer to the Hiring Company. The Hiring Company must immediately destroy or delete any internal records or cached views of the candidate's work. Laand reserves the right to suspend or terminate the corporate workspace of any Hiring Company suspected of misappropriating locked or anonymized candidate IP without executing a standard platform Unlock Event.

9. Disclaimers and Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. VEC, LLC. explicitly disclaims all warranties, whether express or implied, including the implied warranties of merchantability, accuracy, and fitness for a particular purpose.

To the maximum extent permitted by applicable law, VEC, LLC. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including, without limitation, loss of profits, data, employment opportunities, or goodwill—arising from your use of, or inability to use, the platform. We are not liable for the actions, omissions, or hiring decisions of any third-party Employer.

10. Suspension and Termination

We reserve the right to suspend or permanently terminate your account and access to the Services at our sole discretion, without prior notice or liability, if we reasonably believe you have violated any provision of these Terms or engaged in conduct detrimental to the platform. You may terminate this agreement at any time by utilizing the account deletion tools in your user dashboard.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Modifications to the Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via a prominent notice on the platform or direct email communication. Your continued use of the Services following the posting of updated Terms constitutes your acceptance of the changes.
